These Terms of Service ("Terms") govern your use of devlyt.online and any services provided by Devlyt Solutions ("Devlyt", "we", "us"). By using our website or engaging our services, you agree to these Terms. Where a signed proposal or agreement contains different terms, that document takes priority.
Scope of work
Each engagement is defined by a written proposal or quote setting out deliverables, timelines and fees. Work outside that agreed scope is quoted separately and begins only after you approve it in writing.
Quotes, payments and taxes
Quotes are valid for 30 days unless stated otherwise. Unless agreed differently, project work requires an advance payment before it starts, with the balance due on completion and before final files are handed over or a website goes live. Monthly services such as SEO, social media management and Meta Ads management are billed in advance each month. All prices are in Indian Rupees (INR) and exclusive of GST, which is added where applicable. Advertising spend on platforms such as Meta is paid by you directly and is separate from our management fees.
Your responsibilities
You agree to provide content, feedback, approvals and access (such as hosting, domain, analytics and ad account access) in good time. Delays in providing these may move the project timeline. You confirm that any material you supply, including text, images and logos, is yours to use or properly licensed.
Revisions and approvals
Each proposal states the number of revision rounds included. Additional revisions or changes after approval may be charged at our standard rates.
Intellectual property
Once full payment is received, you own the final deliverables created specifically for you, such as your logo, brand assets, website design and content. We keep ownership of our pre-existing tools, code libraries and know-how, and grant you a licence to use them as part of your deliverables. Unless you ask us not to, we may show completed work in our portfolio.
Results and third-party platforms
SEO rankings, organic traffic, social media reach and advertising performance depend on factors outside our control, including search engine and platform algorithms. We commit to doing the work professionally and reporting honestly, but we do not guarantee specific rankings, traffic or sales figures. Third-party services such as hosting, domains, plugins and ad platforms are subject to their own terms.
Cancellation and refunds
You may cancel a project or monthly service with written notice. Fees for work already completed, and advance payments for work already started, are non-refundable. Monthly services require 30 days’ notice unless otherwise agreed.
Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement.
Limitation of liability
To the extent permitted by law, our total liability for any claim relating to our services is limited to the fees you paid for the specific service in the three months before the claim. We are not liable for indirect or consequential losses, such as loss of profit or data.
Governing law
These Terms are governed by the laws of India. Any disputes will first be resolved through good-faith discussion, and otherwise fall under the jurisdiction of the competent courts in India.
